• Legal support of all Company’s activities; • Advise on various corporate, M&A and transactional law issues, including cross-border and complex multijurisdictional matter; • Advise on various legal issues related to corporate and commercial transactions; • Draft and prepare corporate documents in Russian and English; • Interact with external legal consultants on the Company’s projects, coordination of relevant project works; • Liaise with local authorities and government bodies; • Drafting standard form documents (internal policies shareholders/board of directors approvals); • Interaction with the Company’s shareholders and offshore companies (Cuprus, Barbados).

1. Legal support of activities of the Company’s management bodies: drafting corporate documents (minutes of the meeting, notices and agenda of meetings, powers of attorneys, etc.) 2. Legal support of the Company’s activities, including legal support of project finance and other issues relating to the Burgas-Alexandroupolis Project (the Project); 3. Legal support of the technical part of the Project, including analysis and commenting on EPC and LLI contracts, drafting deeds of amendment to existing contract with the Company’s technical adviser, day-to-day advice to the Company’s technical specialists; 4. Interaction with the Company’s shareholders, state bodies and contractors in relation to legal issues; 5. Development of standard forms of legal documents (internal policies, regulations, etc.); 6. Advising the Company’s employees on various legal issues (mostly Russian labour law, corporate law); 7. Drafting and legal analysis of contracts (mostly Russian law contracts); keeping records of executed contracts; 8. Interaction with the Company’s external legal, financial and other professional advisors; 9. Coordination of work of the Company’s external legal advisors. 10. Providing legal support to activity of the Company’s representative office in Moscow accredited at TPP (e.g. extension of the accreditation period, reports on the representative office’s activity, etc.).
