• Managing a team of legal specialists for a project with a total value of US$2.5 billion. • Negotiating and managing contracts, drafting a set of internally approved contract templates including framework master agreements, commercial agreements for procurement of equipment, onshore and offshore services agreements, non-disclosure agreements, consultancy agreements, inspection agreements, etc. • Working with LOGIC, FIDIC, Institution of Mechanical Engineers and other industry specific contract forms. • Working on various contracts for construction, transportation and installation of jackets, topsides and a living quarter with contract award valued up to US$1.2 billion. • Making sure that the company is operating in accordance with the requirements of the Risk Services Agreement and with the laws of the Republic of Azerbaijan. • Advised the company on a contract for construction of a new oil-processing terminal with contract value up to US$500 million.

Contracts management • Was directly responsible for the management of contracts (majority of which involved various types of commercial aviation agreements for cargo transportation), as well as review and negotiation of the legal aspects of said contracts, identifying the problem areas regarding taxation and/or insurance, involving the other relevant departments when required. • Provided legal support to the companies within the corporate group in a variety of matters including construction, foreign jurisdiction tax legislations and employment of professionals into the corporate group’s offices abroad. • Drafted templates for the types of agreements most regularly occurring in commercial cargo aviation such as cargo transportation, charter, aircraft wet/dry lease, code-share, interline, freight forwarding and cargo blocked space agreements. • Established an improved contract records keeping system that involved implementation of internal procedures whereby any agreement to be signed by an authorised officer could only be signed if the relevant departments’ approvals have been obtained. • Prepared the internal anti-monopoly training to be undertaken by the staff members that are involved in the commercial negotiations with the outside parties. Commercial • Drafted a template for a non-disclosure agreement in line with internal company policies to be used by the commercial departments when entering into negotiations with prospective partners. • Drafted and reviewed agency agreements with general as well as local agents that gave rise to fiduciary obligations of the other parties. • Reviewed and negotiated the legal aspects of a large number of aircraft maintenance, repair/overhaul and engine lease agreements with the original manufacturers as well as service providers. • Acted on behalf of an affiliated company in the negotiations regarding the draft agreement with a world leading airline reservation software service provider. • Was in charge of drafting an agreement for the provision of fuel services and subsequent negotiations with a leading European cargo airline. Financing/Leasing • Assisted in preparing and negotiating three multilateral aircraft finance lease agreements each with a subject value of over US$150 million. • Lead the deal for the financing of two helicopters with a total value of US$13 million to be leased to a third party. Litigation/Dispute Resolution • Acted on behalf of an affiliated company in a court case in the jurisdiction of the High Court of Justice in England, UK. This two year process that ended with a mutually agreeable settlement involved preparing documents, interviewing and collecting witness statements, critical examination of case documents presented by the opposing side and working closely with a local counsellor that represented us in the court of law. Legal research • Often conducted research into various areas of foreign legal systems, including the following: o The laws and regulations on pension in the EU, particularly Netherlands. o Russian, Georgian and Ukrainian tax codes. o Employment laws in the Republic of Korea. o Procedures involving establishing a place of business in the People’s Republic of China. o Most of international agreements for the avoidance of double taxation entered into by Azerbaijan.
